Court reaffirms the mandatory nature of Section 12A of the Commercial Courts Act, 2015, dismissing claims of urgency by Indian Explosives Pvt. Ltd.


In a significant ruling reinforcing the mandatory nature of pre-institution mediation, the Calcutta High Court has dismissed an appeal by Indian Explosives Pvt. Ltd. The appeal challenged a previous order that revoked the dispensation of pre-institution mediation granted under Section 12A of the Commercial Courts Act, 2015. The court found that the appellant failed to demonstrate the urgent need for interim relief, a prerequisite for bypassing the mandatory mediation requirement.


The dispute arose from allegations by Indian Explosives Pvt. Ltd. that its former employee, now affiliated with Ideal Detonators Pvt. Ltd., had breached confidentiality agreements and infringed on copyrights as far back as 2016, only discovered by the appellant in 2022. However, the court noted the absence of a specific date of discovery and questioned the urgency claimed by the appellant at the time of suit filing in March 2023.


The bench, comprising Justices Debangsu Basak and MD. Shabbar Rashidi, upheld the Single Judge’s decision, which found no grounds for the dispensation of pre-institution mediation, as the appellant had waited over five years to act on the alleged misappropriation. This delay, the court held, negates the urgency required under the Act.


Citing previous judgments, including the case of Unique Entrepreneurs and Finance Limited v. Really Agritech Private Limited, the court reiterated that any dispensation obtained through deception or falsity could be revoked. The judgment underscores the importance of adhering to statutory mandates unless a genuine and immediate need for judicial intervention is established.


The decision is seen as a reinforcement of the legal framework intended to encourage mediation before litigation, ensuring that parties make genuine efforts to resolve disputes amicably before approaching the courts. The appeal by Indian Explosives Pvt. Ltd. was dismissed without any order as to costs, affirming the lower court’s findings.

Section 12A of the Commercial Courts Act, 2015 mandates pre-institution mediation, and dispensation of this requirement can only be granted when an urgent interim relief is demonstrated. Such dispensation, if obtained through deception or falsity, can be revoked by the Court.
