In a significant ruling, the Supreme Court of India has maintained interim protection in the case involving Moniveda Consultants LLP and Shajas Developers Private Limited, ensuring that the status quo is preserved regarding the disputed property and management until the National Company Law Tribunal (NCLT) in Mumbai reaches a final decision. The case, which highlights allegations of oppression, mismanagement, and potential asset stripping, revolves around the lucrative slum redevelopment project in Mumbai valued at approximately Rs. 1000 crores.


The Supreme Court, while disposing of the appeals and contempt petitions, directed the NCLT to expedite the adjudication process and decide the pending Company Petition No.159(MB) of 2021 within two months. The Court emphasized the importance of preserving the subject matter of the dispute until the competent forum adjudicates the allegations of fabrication of statutory filings, illegal induction of directors, and other claims made by Moniveda Consultants.


Moniveda Consultants, a 40% shareholder of Shajas Developers, alleged that their shareholding was unlawfully altered and management changes were made without proper notice and compliance with statutory requirements. The Supreme Court's interim order, initially granted on December 16, 2022, will continue to restrain any alterations to the property's nature or creation of third-party interests until the NCLT's final decision.


The Court also addressed safety concerns related to the adjoining structures of the project land, permitting limited protective works to ensure structural stability without allowing any construction of the rehabilitation building. This decision ensures that no irreversible changes occur while the dispute remains unresolved.


The judgment reflects the Supreme Court's commitment to maintaining judicial oversight and protecting stakeholders' interests in complex corporate disputes, particularly those involving large-scale projects with substantial financial implications.
