Court Upholds Invocation of Unconditional Bank Guarantee, Emphasizes Lack of Prima Facie Case for Injunction


In a significant judgment, the Delhi High Court has dismissed the petition filed by Kalpataru Projects International Limited seeking to restrain JSW Infrastructure Limited from invoking an unconditional and irrevocable bank guarantee. The court, presided by Justice Mini Pushkarna, underscored the autonomy of bank guarantees and the necessity of demonstrating egregious fraud or irretrievable injury to justify an injunction.


The dispute originated from a contract dated September 14, 2023, for the execution of a 131 km Iron Ore Slurry Pipeline Project in Odisha, with a completion timeline of 24 months. Despite extensions granted by JSW, work remained incomplete leading to a contentious invocation of the bank guarantee by JSW on grounds of non-performance.


Kalpataru argued that JSW's prior agreement to extend the completion deadline without imposing liquidated damages should prevent any subsequent claims. However, the court observed that the contract explicitly allowed for liquidated damages despite extensions if the work remained incomplete, rendering Kalpataru's argument ineffective.


The judgment emphasized that bank guarantees are independent contracts, insulated from disputes in the underlying contract. As such, the court noted that JSW's invocation of the bank guarantee could not be restrained unless there was clear evidence of egregious fraud or irretrievable harm—conditions not met by Kalpataru.


The court also highlighted that mere financial or commercial distress does not satisfy the threshold for irretrievable injury. The judgment referenced several Supreme Court precedents affirming that a bank's obligation under an unconditional guarantee stands irrespective of disputes between contracting parties.


Justice Pushkarna concluded that Kalpataru failed to establish a prima facie case warranting interim relief. Consequently, the petition was dismissed, affirming JSW's right to realize the bank guarantee as per its terms.


Bottom line:-

Arbitration - No injunction can be granted restraining the invocation of an unconditional and irrevocable Bank Guarantee except in cases of egregious fraud or irretrievable injury.
