Delhi High Court Grants Interim Relief in Arbitration Dispute between Orange Orbit LLP and Hostbooks Limited

Court restrains respondents from altering capital structure and encumbering assets without consent amidst allegations of malpractices


In a significant ruling, the Delhi High Court, under the stewardship of Justice Mini Pushkarna, has granted interim relief to Orange Orbit LLP in its arbitration dispute against Hostbooks Limited and others. The court's decision came following allegations by Orange Orbit LLP of financial and governance misconduct by Hostbooks Limited, which included the unauthorized alteration of the company's capital structure and the encumbrance of its assets.


The dispute arose from a Share Subscription Agreement (SSA) and a Shareholders' Agreement (SHA) between the parties, wherein Orange Orbit LLP invested a significant sum into Hostbooks Limited. The petitioner alleged that the respondents engaged in activities contravening these agreements, such as siphoning investment funds and forging documents to secure unauthorized debt, which could potentially render any future arbitration awards unenforceable.


The court noted the seriousness of the allegations, which included forgery of a No-Objection Certificate and breaches of reserved matters under the SHA. It observed that the failure to grant interim relief could lead to irreparable harm to the petitioner, undermining the arbitration proceedings.


Consequently, the court issued a series of orders to safeguard the interests of Orange Orbit LLP. It restrained Hostbooks Limited and its associated respondents from alienating or encumbering their assets, altering the capital structure, or diminishing their intellectual property without the petitioner's consent. Additionally, a status quo was ordered regarding the company's shareholding pattern and other business assets.


The court’s ruling emphasized the need to preserve the subject matter of the arbitration to prevent it from becoming an "illusionary" pursuit. It also upheld the exclusive jurisdiction of New Delhi courts to grant such interim reliefs under the Arbitration and Conciliation Act, 1996, reflecting the arbitration clause within the agreements.


The respondents, who were not represented in court, have been directed to maintain the current state of affairs until the next hearing, scheduled for October 7, 2026. The decision underscores the court's commitment to upholding contractual agreements and ensuring that arbitration proceedings are not rendered futile by interim actions of the parties involved.
