Court affirms arbitration under new disputes arising post-award, preserving interim relief measures.
In a significant ruling, the Delhi High Court has reaffirmed the scope for fresh arbitration under the Arbitration and Conciliation Act, 1996, involving Morgan Securities and Credits Pvt. Ltd. and BPL Limited. The judgment, delivered by Justice Harish Vaidyanathan Shankar, addressed petitions filed under Sections 9 and 11 of the Act, arising from disputes linked to financial facilities extended under a Facility Agreement.
Morgan Securities had earlier secured an arbitral award against BPL Ltd., which was upheld by the Supreme Court. However, fresh disputes emerged following transactions by BPL's promoters, which allegedly breached the Facility Agreement's Clause 6. These transactions involved pledging shares and creating encumbrances, leading Morgan Securities to invoke arbitration anew.
The Court examined whether these subsequent actions could constitute independent arbitrable disputes. It affirmed that fresh disputes could arise from new and distinct transactions, separate from the issues resolved in the prior award. Consequently, the Court appointed Hon'ble Mr. Justice U. U. Lalit, Former Chief Justice of India, as the Sole Arbitrator for these fresh disputes.
Additionally, the Court upheld interim measures previously granted under Section 9, restraining BPL Ltd. from altering its asset base or management structure, ensuring the preservation of the dispute's subject matter pending arbitration.
The ruling clarifies that the existence of an earlier arbitral award does not preclude the emergence of new disputes under the same agreement, setting a precedent for handling similar cases.
