Court Overrules Conciliation Objections and Declares Contract Not a Works Contract


In a significant ruling, the Madhya Pradesh High Court has ordered the appointment of a sole arbitrator to resolve the ongoing disputes between Falguni Nirman Private Limited and Hamidia Hospital, associated with Gandhi Medical College, Bhopal. The judgment, delivered by Justice Vivek Jain, addresses the core issues of contract tenure and payment disagreements, which have been a point of contention between the parties.


The petitioner, Falguni Nirman Private Limited, had sought arbitration due to disputes over the alleged extension of the contract tenure from seven to ten years and issues concerning payment terms. Despite the presence of an arbitration clause, Hamidia Hospital objected, citing the incomplete conciliation process as a prerequisite for arbitration.


Justice Jain dismissed the respondent's objections, emphasizing that the conciliation clause should not impede arbitration when serious disputes are evident and the respondent shows no inclination for conciliation. The court referenced Section 77 of the Arbitration and Conciliation Act, 1996, and past Supreme Court judgments to support its stance that arbitration cannot be stalled by an unfulfilled conciliation process when parties are not amenable to it.


Furthermore, the court addressed the question of whether the contract fell under the category of a "works contract" as defined by the Madhya Pradesh Madhyastham Adhikaran Adhiniyam, 1983. The respondent argued that the contract involved construction activities, thereby necessitating jurisdiction under the MP Arbitration Tribunal. However, Justice Jain clarified that the contract primarily focused on the operation and maintenance of diagnostic facilities, not construction, thus negating the classification as a works contract.


The court appointed Shri Justice Rohit Arya, a former judge of the MP High Court, as the sole arbitrator to adjudicate the disputes. The Registrar Judicial of the court has been tasked with securing the necessary consent and disclosure from the proposed arbitrator.


This judgment sets a precedent for handling disputes where conciliation processes are not viable due to the lack of mutual willingness. It underscores the judiciary's role in facilitating arbitration as a means to resolve commercial disagreements efficiently.
