Court Upholds Arbitration Clause, Dismisses Intervention by Non-Signatory in Dealership Dispute


In a significant ruling, the Madhya Pradesh High Court has directed the appointment of an arbitrator to resolve a dispute between MS Natural Petroleum and Indian Oil Corporation Limited (IOCL). The court, presided over by Justice Pavan Kumar Dwivedi, confirmed the existence of a live dispute under the arbitration clause in the dealership agreement, allowing the invocation of arbitration despite IOCL's objections.


The dispute arose from allegations by IOCL that MS Natural Petroleum had violated the terms of their dealership agreement concerning land use. IOCL issued several notices to MS Natural Petroleum, culminating in a show-cause notice proposing the termination of the dealership. MS Natural Petroleum, in response, invoked the arbitration clause in the agreement, leading to the present application under Section 11 of the Arbitration and Conciliation Act, 1996.


The court rejected IOCL's argument that the application for arbitration was premature due to the absence of a crystallized dispute. Justice Dwivedi emphasized that the issuance of a show-cause notice and the subsequent replies constituted a dispute, warranting arbitration. The court also dismissed an intervention application by a non-signatory, maintaining that arbitration proceedings should remain confidential and exclusive to the parties involved in the agreement.


Justice Dwivedi appointed retired High Court Judge, Hon'ble Shri Justice Virender Singh, as the arbitrator to adjudicate the matter, reaffirming the court's commitment to uphold arbitration agreements and ensuring disputes are resolved through agreed mechanisms.
