Madras High Court Upholds Trademark Rights in Beardsell Name Dispute

Court Restrains Multiple Companies from Using "Beardsell" Trademark Following MoU Breach


In a significant judgment, the Madras High Court has upheld the rights of Beardsell Limited over the use of its trademarked name "Beardsell." The court has restrained Beardsell Polymers Pvt. Ltd. and Beardsell Equipment Pvt. Ltd. from using the corporate name "Beardsell," citing a breach of the Memorandum of Understanding (MoU) that restricted the establishment of only one new company under the trademark.


The judgment, delivered by Justices P. Velmurugan and K. Govindarajan Thilakavadi, arose from a suit filed by Beardsell Limited against Beardsell Polymers Pvt. Ltd. and others. The court found that the MoU between the parties, dating back to 2003, explicitly allowed only the formation of one new company, Beardsell Eastern Private Limited, by the appellants under the trademark "Beardsell." The establishment of additional companies, Beardsell Polymers Pvt. Ltd. and Beardsell Equipment Pvt. Ltd., was deemed unauthorized.


The dispute originated when Beardsell Limited, engaged in manufacturing various industrial products, discovered that the additional companies were using its trademarked name, potentially misleading the public. The court ruled that mere knowledge of these companies' operations did not constitute acquiescence, as no clear evidence of consent or waiver was provided.


The court's decision includes an injunction against the appellants, except Beardsell Eastern Private Limited, from using the "Beardsell" name or any deceptively similar name. Additionally, the appellants have been ordered to destroy all infringing materials and pay costs amounting to Rs. 2,00,000 to Beardsell Limited.


This judgment reaffirms the importance of adhering to the terms of agreements in trademark disputes and highlights the court's stance against unauthorized use of corporate names that can lead to public deception.
