Appellate Tribunal Directs Reconsideration of Amendment Application and Maintainability of Petition


In a significant development, the National Company Law Appellate Tribunal (NCLAT) in Chennai has quashed two orders passed by the National Company Law Tribunal (NCLT), Bengaluru, concerning the ongoing legal battle between M/S Apex Luminaires Pvt. Ltd. and G.N. Thirumalesh. The appellate tribunal, presided over by Justice Sharad Kumar Sharma and Jatindranath Swain, highlighted the lack of judicial reasoning and proper legal framework application in the original tribunal's decisions.


In the first appeal, Company Appeal (AT) (CH) No. 121/2025, the NCLAT addressed the issue of an amendment application filed by the respondent, G.N. Thirumalesh. The original order had allowed the amendment, permitting new pleadings and relief clauses in the memorandum of the company petition. However, the appellate tribunal found that the NCLT failed to provide adequate reasoning or apply the necessary legal tests for such an amendment, which could significantly alter the nature of the original petition. Consequently, the NCLAT quashed the order and remitted the matter back to the NCLT for a thorough reconsideration in line with legal standards.


The second appeal, Company Appeal (AT) (CH) No. 120/2025, revolved around the maintainability of the company petition under Sections 241-244 of the Companies Act, 2013. The appellants contended that the respondent, Thirumalesh, lacked the necessary shareholding status to file the petition, as he did not hold any shares at the time of filing. The NCLAT found that the NCLT had erroneously relied on presumptions regarding the respondent's membership status without adequately addressing the core issue of shareholding. The appellate tribunal emphasized that the burden of proof regarding membership status lies with the petitioner, especially when challenged. The NCLAT quashed the order and instructed the NCLT to reconsider the maintainability issue afresh.


Both appeals highlight critical aspects of corporate law, including the procedural requirements for amending petitions and the criteria for establishing membership status in company law disputes. The NCLAT's decision underscores the necessity for meticulous judicial reasoning and adherence to statutory provisions in resolving complex corporate legal matters.
