NCLT Mumbai Greenlights Yatra TG Stays Private Limited's Amalgamation Scheme

A Landmark Decision Integrating Multiple Yatra Entities to Streamline Operations and Enhance Business Efficiency
In a significant development, the National Company Law Tribunal (NCLT) Mumbai Bench has sanctioned the Scheme of Amalgamation involving Yatra TG Stays Private Limited and several other Yatra entities with Yatra Online Limited. The decision, dated October 14, 2025, was delivered by the bench comprising Shri. Anil Raj Chellan and Shri. K. R. Saji Kumar.
The sanctioned scheme facilitates the amalgamation of Yatra TG Stays Private Limited, along with Yatra Hotel Solutions Private Limited, Yatra for Business Private Limited, Yatra Corporate Hotel Solutions Private Limited, Travel.Co.In Private Limited, and Yatra Online Freight Services Private Limited with Yatra Online Limited. This move is aimed at consolidating operations, reducing costs, and optimizing the corporate structure to enhance efficiencies.
The Board of Directors of all involved entities had previously approved the amalgamation scheme in their meetings held on August 12, 2024. Notably, the scheme did not face any objections from stakeholders or regulatory authorities, underscoring its acceptance and compliance with prevailing laws.
The NCLT observed that the scheme was fair and reasonable, aligning with the provisions of the Companies Act, 2013, and other statutory requirements, including compliance with the Income Tax Act, 1961. The tribunal also emphasized that the amalgamation would not contravene public policy or legal provisions.
The appointed date for the scheme was set as April 1, 2024. The tribunal has directed the applicant companies to file the certified copy of the order along with the scheme with the Registrar of Companies within 30 days. Additionally, they are required to provide the order to the Superintendent of Stamps for stamp duty adjudication within the same timeframe.
The scheme aims to integrate businesses, reduce operational costs, enhance efficiencies, and simplify the corporate structure.
