Calcutta High Court Directs Registrar to Register Law Firm Without Trade License Requirement, Court rules that trade licenses are not mandatory for the registration of partnership firms of advocates under the Indian Partnership Act, 1932.


In a significant ruling, the Calcutta High Court, Circuit Bench at Jalpaiguri, has directed the Registrar, Office of the Registrar of Firms, Societies and Non-Trading Corporations, West Bengal, to register the partnership firm M/s Pinava Legal without insisting on the submission of a trade license. The judgment, delivered by Justice Bivas Pattanayak on June 18, 2026, underscores that the Indian Partnership Act, 1932 does not mandate the submission of a trade license for the registration of a partnership firm.


The case was brought forward by Dr. Arjun Chowdhury, an advocate and petitioner in-person, challenging the refusal of the Registrar to register M/s Pinava Legal due to the non-production of a trade license. Dr. Chowdhury argued that the requirements under Section 58 of the Indian Partnership Act, 1932 had been met, which obligates the Registrar to register the firm under Section 59. He contended that the insistence on a trade license was arbitrary and unconstitutional, especially for a firm of advocates, which is not considered a "commercial establishment" under the Advocates Act, 1961.


The court, after reviewing the statutory provisions and relevant case law, concluded that the Registrar's demand for a trade license was unjustified. The judgment emphasized that guidelines or rules requiring a trade license must align with the parent statute and cannot impose additional requirements not prescribed in the Indian Partnership Act, 1932.


The court directed the Registrar to process the application for registration within two weeks without the trade license requirement, marking a pivotal decision that clarifies the legal framework governing the registration of law firms.
